Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the services provided by Joyspace Technologies, Inc. doing business as Joyspace AI ("Joyspace AI", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Subscription and Billing

Joyspace AI offers different subscription plans. By subscribing, you agree to pay the applicable subscription fees as specified at the time of purchase. Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date.

2. Privacy

Your personal data is handled according to our Privacy Policy. We do not store payment information and ensure your data is secure and used solely for providing our services.

3. Cancellation

Subscriptions automatically renew unless canceled at least 24 hours before the renewal date. You can cancel your subscription through your account settings, but no refunds are issued for unused portions of the subscription.

4. No Refunds

All sales are final, and Joyspace AI does not offer refunds. If you choose to cancel your subscription, you may continue to use our services until the end of your current subscription period, but no refunds will be issued for any unused portion of the subscription.

5. Intellectual Property

Joyspace AI acknowledges that all videos and content provided by you ("the customer") remain your intellectual property. Any derivative works, such as short clips produced using our services from your content, shall also remain your sole and exclusive property. Joyspace AI does not claim ownership of any videos you provide.

However, any assets, services, functions, software, or intellectual property developed or provided by Joyspace AI in connection with our services, which were not pre-existing or independently owned by you, shall remain the sole and exclusive property of Joyspace AI.

6. Content Policy

You may not use Joyspace AI's platform to create, upload, or distribute content that is:

• Pornographic or sexually explicit;
• Intended to exploit or harm minors, including child sexual abuse material (CSAM);
• Promoting hate, violence, terrorism, or discrimination;
• Misleading, fraudulent, defamatory, or libelous;
• In violation of any applicable law or third-party rights.

We reserve the right to remove or refuse to process such content and to terminate accounts that violate this policy. We will report illegal content to appropriate authorities when required.

7. Video Delivery

Most videos are delivered within 48 business hours from the time we receive a formal request. While we strive to meet this timeframe, delivery may vary based on project complexity. No credits or refunds are issued for missed timelines.

8. User Content Responsibility

Content Accuracy: You are solely responsible for the accuracy, quality, and legality of the content you provide and any resulting videos. Joyspace AI is not liable for errors or issues resulting from user-submitted content.

Compliance: You agree to comply with all applicable laws, regulations, and industry standards in your use of our services.

9. Indemnification

You agree to indemnify and hold harmless Joyspace AI, its affiliates, owners, managers, directors, and employees from any claims, damages, liabilities, costs, or expenses arising from your use of our services, your breach of these Terms, or your violation of any law or third-party rights.

10. Limitation of Liability

Joyspace AI will not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability is limited to the amount you paid for the service that gave rise to the claim.

11. Force Majeure

Joyspace AI shall not be liable for any failure or delay due to causes beyond its reasonable control, including but not limited to natural disasters, acts of war, terrorism, cybersecurity incidents, third-party outages, third-party service degradations, labor disputes, government actions, or failures in telecommunications or internet services.

12. Governing Law

These Terms are governed by the laws of the State of Delaware. Any disputes shall be resolved exclusively in Delaware courts.

13. Modifications to Terms

Joyspace AI may update these Terms periodically. Updates will be posted on our website. Continued use after any change signifies your acceptance of the updated Terms.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the full agreement between you and Joyspace AI, superseding all prior agreements or understandings.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remainder shall continue in full force and effect.

16. Prohibited Uses

You may not:

• Use our services for illegal activities or in a manner that violates applicable laws;
• Interfere with or disrupt the platform or its security;
• Attempt unauthorized access to systems or data;
• Use automated tools (e.g., bots, scrapers) to misuse or overload our platform.
• Use large language models (LLMs), artificial intelligence (AI), machine learning (ML), or any automated AI-based systems to interact with, scrape, extract data from, or otherwise misuse or reverse engineer our platform or services.

17. Security and Misuse

You agree not to:

• Bypass or tamper with any security or authentication mechanisms;
• Introduce malicious software or code;
• Access or use another user's account without authorization.

18. Reverse Engineering

You may not:

• Modify, reverse engineer, decompile, or disassemble any part of our software or services;
• Use our services to build a competing product or service.

19. Age Restriction

Our services are intended only for users 18 years of age or older. By using the platform, you confirm that you are at least 18 years old. We do not knowingly collect personal data from minors.

20. AI-Generated Content Disclaimer

Joyspace AI uses artificial intelligence to assist in video generation and editing. While we aim for high quality, AI-generated outputs may contain inaccuracies or unintended elements. You acknowledge and accept this risk and are solely responsible for reviewing and approving final video content prior to publication or use.

21. Third-Party Services

Our services may include integrations or interactions with third-party platforms. Joyspace AI is not responsible for the availability, accuracy, or functionality of any third-party services, which are governed by their own terms and policies.

22. Disclaimer of Warranties

Joyspace AI's services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free service.

23. Representation and Warranties

By using our services, you represent and warrant that:

• You have the full legal right to upload and use all media and content you submit;
• Your content does not violate any laws or third-party rights;
• You will use our services in compliance with these Terms.

24. Content Usage Rights and Responsibility

By using Joyspace AI's services, you confirm and warrant that you have all necessary rights, licenses, consents, and permissions to use, upload, and process the content you provide, including any intellectual property rights. Joyspace AI does not verify or investigate these rights and assumes no responsibility or liability for any copyright infringement or other legal issues arising from your content. You are solely responsible for any claims, damages, or disputes related to the content you submit.

25. Business Use Acknowledgement

You acknowledge that Joyspace AI is intended for commercial or professional use, and you are responsible for complying with any relevant industry regulations or obligations related to your usage.

26. AI + Human Editor Service Scope

Our AI + Human Editor service covers only minor editing tasks, which include:

• Creating video clips;
• Adding name plates for the person;
• Adding video titles ;
• Adding logos to the video;
• Adding highly accurate captions with customer brand colors;
• Person focus adjustments;
• Studio-quality voice-overs;
• Transcription and rendering of videos;
• Making videos available in different aspect ratios (9:16, 16:9, 1:1) suitable for social media;
• Dedicated Slack channel support.

Anything beyond these listed services is not covered under our AI + Human Editor service. We include one revision per clip as a courtsey.
